These Terms of Service govern your use of the website located at https://orchetta.com and any related services provided by Orchetta Inc.

By accessing https://orchetta.com, you agree to abide by these Terms of Service and to comply with all applicable laws and regulations. If you do not agree with these Terms of Service, you are prohibited from using or accessing this website or using any other services provided by Orchetta Inc.

We, Orchetta Inc, reserve the right to review and amend any of these Terms of Service at our sole discretion. Upon doing so, we will update this page. Any changes to these Terms of Service will take effect immediately from the date of publication.

Subscription and Billing

Orchetta offers subscription-based services with different pricing tiers:

Graph Plans

Graph Plans are organization-wide subscriptions that determine the total number of items (journeys, stages, steps, and components) your organization can create. Plans range from a free Starter tier with limited items to paid tiers offering increased capacity. When you reach your plan's limit, you will need to upgrade to add more items.

Seat Plans

Seat Plans are per-user subscriptions that control access to AI-powered features and set monthly usage limits. Each member of your organization can be assigned to a seat tier based on their needs.

Payment and Billing

All payments are processed securely through Stripe.
Subscriptions are billed on a recurring monthly basis.
You authorize us to charge your payment method automatically each billing cycle.
Prices are subject to change with 30 days advance notice.

Cancellation and Refunds

You may cancel your subscription at any time through your account settings.
Cancellations take effect at the end of the current billing period.
All fees are non-refundable. We do not provide refunds or credits for partial subscription periods, unused features, or any other reason.
If you cancel, you will retain access to paid features until the end of your current billing period.

Usage Limits

If you exceed your plan's usage limits, certain features may be restricted until you upgrade your plan or the next billing cycle begins. We will notify you when you are approaching your limits.

Organizations and Teams

Orchetta operates on a business-to-business (B2B) model where users belong to organizations:

Organizations are the primary account unit. All content and billing is managed at the organization level.
Organization Owners have full administrative control, including billing, member management, and the ability to delete the organization.
Administrators can manage members, settings, and content but have limited billing access.
Members can access and create content based on their assigned permissions.

Organization owners and administrators may suspend or remove members at any time. When an organization is deleted, all associated data is permanently and immediately removed.

AI-Powered Features

Orchetta includes optional AI-powered features that analyze and enhance your content:

When you use AI features, your content (such as journey descriptions, component information, and related data) may be sent to third-party AI service providers, including OpenAI and Anthropic, for processing.
AI features generate recommendations that require your review and approval before taking effect.
You are solely responsible for reviewing, accepting, or rejecting AI-generated recommendations.
AI usage is subject to monthly limits based on your seat plan tier.
Organization administrators can enable or disable AI features for their organization.

Disclaimer: AI-generated content and recommendations are provided "as is" without any warranty of accuracy, completeness, or fitness for any particular purpose. You should not rely solely on AI recommendations and should always verify AI-generated content before use.

Browser Extension

Orchetta offers an optional Chrome browser extension that allows you to capture web page information:

The extension requires certain browser permissions to function, including access to the active tab, the ability to capture screenshots, and storage for temporary data.
The extension only captures data when you explicitly initiate an action (such as saving a page or taking a screenshot).
Captured data is transmitted securely to your Orchetta account and is subject to the same terms as other user-generated content.
The extension shares authentication with the main web application; you must be logged in to use it.

API Access

Orchetta provides API access for programmatic integration with your applications:

API access is available through machine-to-machine (M2M) client credentials.
API usage is subject to rate limits of 300 requests per 5 minutes per IP address.
You are solely responsible for the security of your API credentials. Credentials are displayed only once at creation and cannot be recovered.
We may revoke API access at any time if we detect violations of these Terms of Service or abusive usage patterns.
API access may be subject to separate feature flags and may not be available on all plans.

Limitations of Use

By using this website, you warrant on behalf of yourself, your users, and other parties you represent that you will not:

modify, copy, prepare derivative works of, decompile, or reverse engineer any materials and software contained on this website;
remove any copyright or other proprietary notations from any materials and software on this website;
transfer the materials to another person or "mirror" the materials on any other server;
knowingly or negligently use this website or any of its associated services in a way that abuses or disrupts our networks or any other service Orchetta Inc provides;
use this website or its associated services to transmit or publish any harassing, indecent, obscene, fraudulent, or unlawful material;
use this website or its associated services in violation of any applicable laws or regulations;
use this website in conjunction with sending unauthorized advertising or spam;
harvest, collect, or gather user data without the user's consent;
use this website or its associated services in such a way that may infringe the privacy, intellectual property rights, or other rights of third parties;
attempt to circumvent usage limits, rate limits, or other restrictions;
share API credentials or account access with unauthorized parties;
use automated means to access the service in ways that exceed reasonable usage patterns.

Intellectual Property

The intellectual property in the materials contained in this website are owned by or licensed to Orchetta Inc and are protected by applicable copyright and trademark law. We grant our users permission to download one copy of the materials for personal, non-commercial transitory use.

This constitutes the grant of a license, not a transfer of title. This license shall automatically terminate if you violate any of these restrictions or the Terms of Service, and may be terminated by Orchetta Inc at any time.

User-Generated Content

You retain your intellectual property ownership rights over content you submit to us for publication on our website. We will never claim ownership of your content, but we do require a license from you in order to use it.

When you use our website or its associated services to post, upload, share, or otherwise transmit content covered by intellectual property rights, you grant to us a non-exclusive, royalty-free, transferable, sub-licensable, worldwide license to use, distribute, modify, run, copy, publicly display, translate, or otherwise create derivative works of your content in a manner that is consistent with your privacy preferences and our Privacy Policy.

The license you grant us can be terminated at any time by deleting your content or account. However, to the extent that we (or our partners) have used your content in connection with commercial or sponsored content, the license will continue until the relevant commercial or post has been discontinued by us.

Content Types

User-generated content in Orchetta includes, but is not limited to:

Journeys, stages, and steps
Components (touchpoints, pain points, emotions, actions, etc.)
Collections and tags
Screenshots and image uploads (limited to PNG, JPEG, and WebP formats, maximum 5MB per file)
Board configurations and views

Content Sharing and Visibility

All content you create is scoped to your organization and is accessible to other members of your organization based on their permissions. Content is not publicly accessible outside your organization unless you explicitly share it through other means.

Content Deletion

Deletion is permanent. When you delete content, it is immediately removed from our active systems. Deleted content may persist in encrypted backups for up to 90 days for disaster recovery purposes, after which it is automatically purged. We cannot selectively recover deleted content from backups. Please ensure you have your own backups of any important data before deletion.

Data Portability

You may access and export your content through our API. API access may be subject to plan restrictions and rate limits.

Liability

Our website and the materials on our website are provided on an 'as is' basis. To the extent permitted by law, Orchetta Inc makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties including, without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property, or other violation of rights.

In no event shall Orchetta Inc or its suppliers be liable for any consequential loss suffered or incurred by you or any third party arising from the use or inability to use this website or the materials on this website, even if Orchetta Inc or an authorized representative has been notified, orally or in writing, of the possibility of such damage.

In the context of this agreement, "consequential loss" includes any consequential loss, indirect loss, real or anticipated loss of profit, loss of benefit, loss of revenue, loss of business, loss of goodwill, loss of opportunity, loss of savings, loss of reputation, loss of use and/or loss or corruption of data, whether under statute, contract, equity, tort (including negligence), indemnity or otherwise.

Because some jurisdictions do not allow limitations on implied warranties, or limitations of liability for consequential or incidental damages, these limitations may not apply to you.

Service Availability

We do not guarantee any specific level of service availability or uptime. The service may be unavailable from time to time due to maintenance, updates, or circumstances beyond our control. We will make reasonable efforts to provide notice of planned maintenance when possible.

Third-Party Dependencies

Our service relies on third-party providers including Stytch (authentication), Stripe (payments), OpenAI (AI features), Anthropic (AI features), and Amazon Web Services (infrastructure). We are not liable for any issues arising from the unavailability or malfunction of these third-party services.

Accuracy of Materials

The materials appearing on our website are not comprehensive and are for general information purposes only. Orchetta Inc does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of the materials on this website, or otherwise relating to such materials or on any resources linked to this website.

Orchetta Inc has not reviewed all of the sites linked to its website and is not responsible for the contents of any such linked site. The inclusion of any link does not imply endorsement, approval or control by Orchetta Inc of the site. Use of any such linked site is at your own risk and we strongly advise you make your own investigations with respect to the suitability of those sites.

Right to Terminate

We may suspend or terminate your right to use our website and terminate these Terms of Service immediately upon written notice to you for any breach of these Terms of Service.

We may also suspend or terminate your account if:

You violate these Terms of Service or our Acceptable Use policies;
Your payment method fails and payment cannot be collected;
We are required to do so by law;
We reasonably believe your account poses a security risk or is being used for fraudulent purposes.

You may cancel your subscription and close your account at any time through your account settings or by contacting us.

Upon termination, all data associated with your account or organization is removed from our active systems. Data may persist in encrypted backups for up to 90 days for disaster recovery purposes, after which it is automatically purged. If you wish to preserve your data, you must export it before closing your account.

Severance

Any term of these Terms of Service which is wholly or partially void or unenforceable is severed to the extent that it is void or unenforceable. The validity of the remainder of these Terms of Service is not affected.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of Ontario, Canada. You irrevocably submit to the exclusive jurisdiction of the courts in that State or location.
